1. Executive Summary

Om Sales Inc (hereafter also referred to as the Company), will operate three smoke shops selling tobacco-related products and one gas station with a convenience store in Indiana. The smoke shops will operate under the name Red Carpet Smoke Shop.
Om Sales Inc was incorporated on May 4, 2017 in Indiana. The Company’s office is located at 1457 Broadway, Chesterton, IN 46304. The Indian company Om Sales and Services (hereafter also referred to as the parent company) solely owns Om Sales Inc. Mr. Kalpesh Kumar Babulal Patel will serve as the Chief Executive Officer.
The Company will target local residents for Red Carpet Smoke Shops and the gas station with the convenience store. Local businesses and travelers will be the main targets for the gas station with the convenience store. The three Red Carpet Smoke Shops will be located in Chesterton, Valparaiso, and Michigan City, Indiana. The gas station with the convenience store will be located in either Gary or Hobart, Indiana.
The Company will hire Mr. Kalpesh Kumar Babulal Patel as the Chief Executive Officer, one Operations Manager, four Managers, three Cashiers, and three Gas Station Attendants in Year 1. The Company will retain the headcount at 12 employees by the end of Year 5, with payroll expenses starting at $176,650 in Year 1 and increasing to $284,428 in Year 5.
Following the management efforts of Mr. Kalpesh Kumar Babulal Patel, the Company’s sales are expected to grow from $1,490,000 in Year 1 to $2,677,307 in Year 5.

2. Parent Company’s Summary

2.1 Company Summary

Om Sales and Services is an Indian company that supplies hospitals with disposable, rehabilitation, hygiene, and disinfectant surgical products. The parent company also manufactures and repairs hospital steel furniture, such as bedside lockers, crash carts, hospital beds, and wheel chairs. Om Sales and Services is the authorized distributor of brands including Ethicon (a Johnson & Johnson Company), Dyna-Tech Medical, Surgiwear, and Medicare Hospital Equipment.
Om Sales and Services is equally owned by Mr. Kalpesh Kumar Babulal Patel and Mr. Nehalbhai Babulal Patel.
At the end of fiscal 2016, the parent company had assets of 4,580,805 Indian rupees, or $69,165. Om Sales and Services also holds 8,580,805 Indian rupees in its bank account, equaling $130,012. During fiscal year 2016, the parent company achieved sales in the amount of 19,381,505 Indian rupees, or $292,641.

2.2 Parent Company’s Team

General Manager: Mr. Nehalbhai Babulal Patel
Mr. Nehalhbhai Babulal Patel has been the back office coordinator and sales officer in Om Sales and Services from May 2001 to November 2002. During this time, he has coordinated with the sales team, updated daily sales and purchasing figures, managed the daily administration tasks, and provided product information to potential customers.
Starting in April 2012, Mr. Nehalbhai Babulal Patel has been the joint partner of Om Sales and Services. The parent company increased its sales each year, during this time. His tasks include:
● handling the operations with all hospitals in Gujarat
● maintaining daily sales and purchase reports
● encouraging all employees to increase sales of the parent company
● cooperate together with all surgical equipment manufacturers in India regarding purchasing

3. U.S. Company’s Summary

3.1 Ownership

Om Sales Inc was incorporated on May 4, 2017 in Indiana. The Company is owned by Om Sales and Services.
Mr. Kalpesh Kumar Babulal Patel will serve as the Chief Executive Officer once his visa is approved.

3.2 Location

Om Sales Inc’s office and first smoke shop are located at 1457 Broadway, Chesterton, IN 46304. The Company has leased the 1,500 square foot premises at this location for monthly rent of $750. The Company signed the lease agreement with Bennett Rentals on June 9, 2017. The commencement date of the lease agreement is June 1, 2017 and expires on June 1, 2018. Om Sales Inc has a renewal option on the lease agreement for additional 12 months lease period. The smoke shop will operate Monday through Friday from 8 a.m. to 10 p.m. Om Sales Inc will answer all customer inquiries via phone, e-mail, and website.
The second smoke shop operated by the Company will be located at 902 Calumet Avenue, Valparaiso, IN 46383. The second smoke shop has 2,200 square feet. On June 6, 2017 Om Sales Inc entered a lease agreement with PAC Investments LLC. The lease period will commence on August 1, 2017 and will end on July 31, 2018 with a renewal option for additional two year lease period. The annual rent is set to $21,600 and is payable in equal monthly installments of $1,800. The smoke shop will operate Monday through Friday from 9 a.m. to 9 p.m.
Om Sales Inc will open a third smoke shop, located in Michigan City, Indiana in Year 1. Also, a gas station will be opened either in Gary or in Hobart, Indiana in Year 1.

4. Investment

Om Sales Inc will fund all of its operations from the investment made by the parent company, without any loans from financial institutions. Invested funds will provide for all of the financing required for the Company to begin and sustain operations.
